Invitation for Pre-Qualification – PRQ/JPT/36/26 (for the participation in the below described tender)

Mellitah Oil & Gas B.V. Libyan Branch (JPT Division) invites Contractors with extensive experience in the offshore Drilling and Completion Activities to participate to this Pre-Qualification stage relevant to: PROVISION OF SEMI-SUBMERSIBLE RIG UNIT FOR OFFSHORE DRILLING AND COMPLETION OPERATIONS FOR STRUCTURE “E” PROJECT (see “Attachment no. 2 – Scope of Work”).

Contractors are willing to participate in the prequalification stage for this tender are required to submit the following files:
1. Technical File includes (Technical profile, experience, Rig Unit, equipment’s, personnel CVs, as well as other requirements stated in the attached Scope of Work etc.).
2. Legal File.
3. HSEQ File.
4. Financial File
NB submission must be well organized as stated above.

For evaluating and pre-qualifying suitable and eligible companies to be invited to the present “Invitation for Pre-Qualification” and participate to the next tendering stage (in case of successful pre-qualification process), the attached PRE-QUALIFICATION QUESTIONNAIRE FORM MUST BE DULY FILLED IN AND SUBMITTED (please see the attached file “Attachment no. Attach_1_QUESIONAIRRE_UPDATED.29.7_HF_3.8.26”)

Scope of Work

PROVISION OF SEMI-SUBMERSIBLE RIG UNIT FOR OFFSHORE DRILLING AND COMPLETION OPERATIONS TO DRILL 14 (FOURTEEN) Dry Tree Wells and DRILL & COMPLETE 4 (FOUR) SUB-SEA WETWELLS for the OFFSHORE DEVELOPMENT WELL(S) FOR STRUCTURE “E” PROJECT as described in the attached Scope of Work (“Attachment no. Attach_2__Offshore_Rig_Pre-Qualification_E_Str_Semisub_FINAL – Scope of Work”)
QUALIFICATION REQUIREMENTS:

Companies interested in the above subject must satisfy the stipulated requirements and submit all the required information and documents listed below, taking into consideration that failure to submit said documents and/or information may result, automatically, in their disqualification:

1. Technical Requirements to be included in the Technical file:
a) Company profile with full details of similar services performed, Rig Unit specifications, Rig certificates, providing a relevant and verifiable reference list of clients, current activities to be carried out and any additional information that will enhance the potential viability of the applicant or consortium.
b) To provide all the information and documentation required in the Questionnaire File and in the Scope of Work.

2. Legal requirement to be included in the Legal file:
2.1 General Requirements:
All participating bidders shall submit the following documents:
2.1.1 Expression of Interest Letter
The participated bidders shall submit a Letter on it’s letterhead addressed to the JPT Pre-Qualification Committee (JPT Division) expressing its interest to participate in the subject “Invitation for Pre-Qualification”. The letter shall include:
a) Full legal name of the participant company.
b) Legal form of the participant company.
c) Registered address.
d) Official email address.
e) Telephone and mobile numbers
f) Name and title of authorized signatory.
g) In the case of a Joint Venture or Consortium, the members shall jointly submit on letterhead reflecting parties’ interest signed and stamped by the authorized signatories of all Joint Venture or Consortium members.
2.1.2 Legal Authorization and Registration Documents:
The participating bidders, either local or foreign must demonstrate their legal capacity to participate the relevant commercial activity in Libya in accordance with Libyan laws and regulations and shall provide all the necessary documentation (such as licenses, commercial register, proof of branch registration in Libya, etc.) showing the possess of the required permissions from local authorities for this kind of business.
THE FOREIGN BIDDERS NOT HAVING A REGISTERED/BRANCH IN LIBYA AT THE TIME OF PRE-QUALIFICATIONS, ARE ALLOWED TO PARTICIPATE SUBJECT INDICATE HEREIN SEE ITEM 1.4.2.

2.1.3 Declaration of Accuracy:
All participating bidders must complete, sign, and stamp the enclosed “”Form A – Declaration Template” on their letterhead, included in the Questionnaire file, through this declaration, the applicant confirming full legal responsibility that:
a) All submitted information is accurate and documents are true and correct.
b) The participant company bears full legal consequences for any misrepresentation.
c) No material facts have been withheld
2.2 Requirements for Local Companies:
local applicants shall submit valid documentation, as follows:
a) valid commercial company registration and official registration certificate with Chamber of Commerce
b) Valid Business License
c) Valid Tax Certificate
d) Company Establishment Contract
e) Note that the participating bidders registered activity should be relevant to the Scope of Work of Service or Project that will be implemented under this invitation.
IMPORTANT:
• All legal Documents submitted in copy form shall be duly certified by a Notary Public as true copies of the original documents.
• All documents must be valid at the time of submission.
2.3 JOINT VENTURES Company and Consortium AGREEMENTS:
The Joint venture and Consortium are permitted to participate provided they fully comply with Libyan law and the conditions stated herein.
2.3.1 Joint Venture Company Established in Libya
If the applicant is a Joint Venture company incorporated in Libya, it must submit:
i. Commercial Registration evidencing its legal incorporation under Libyan law.
ii. All documents required for Local Companies above.
The Joint Venture must be legally established in accordance with Libyan Law prior to submission.
2.3.2. Contractual Joint Venture or Consortium Agreement (The Solidarity Agreement):
If participation is through a Consortium or contractual Joint Venture not incorporated as a separate legal entity, the following requirements shall apply:
a) Submission of a legally binding Solidarity Agreement executed between all participating parties.
b) The agreement must be ratified by the competent authorities a Notary Public (contract editor).
c) The agreement shall clearly state that all parties are jointly and severally liable for the performance of the required works and services.
d) The agreement shall designate one party as the Lead Partner, authorized to represent the Consortium in front of the Company
e) No Joint Venture or consortium member can submit an independent bid or participate in another Joint Venture or consortium for the same tender.
Only Joint Ventures / Consortium that are successfully pre-qualified will be invited to participate in the subsequent tender stage. (i.e., they will receive the “Invitation to Tender”) provided that and official declaration is submitted during this pre-qualification process to this regard.

IMPORTANT:
Bidders intending to participate as a Joint Venture or Consortium shall submit their application as such during the Pre-Qualification stage and shall identify the members of the Joint Venture or Consortium.
Only Joint Ventures or Consortia pre-qualified under the present Invitation for Pre-Qualification shall be eligible to participate in the subsequent Tender stage. The formation of a Joint Venture or Consortium after completion of the Pre-Qualification process shall not be permitted.
2.4 Requirements for Foreign Companies
Foreign companies are subject to the same legal requirements applicable to local companies, in addition to the regulatory provisions governing foreign participation in Libya.
2.4.1 Foreign Companies with Registered Branch in Libya
Foreign companies operating through a registered Libyan branch must submit:
a) Valid permit issued by the Libyan Ministry of Economy authorizing branch establishment
b) Commercial Registration of the branch
c) Tax Registration Certificate
d) Chamber of Commerce Registration
The branch must be authorized to conduct the relevant business activities in Libya.
2.4.2 Foreign Companies Without a Registered Branch in Libya
Foreign companies not having a registered branch in Libya at the Pre-Qualification stage may participate subject to the following:
a) Submission of a formal written commitment to establish a Libyan branch and obtain the required authorization from the Libyan Ministry of Economy within the timeframe specified by the Tender Committee if invited to the tender stage.
b) Submission of an official declaration confirming such commitment during the tender stage.
c) In the case of a Joint Venture or Consortium:
• Each foreign member must submit the above commitment individually.
• all members must submit an official declaration confirming the form of their partnership.
• Submission of a signed Memorandum of Understanding “MOU” clearly defining roles and responsibilities and project/services scope allocation between members.
d) Failure to fulfill this requirement within the specified timeframe shall result in disqualification prior to contract award.

3. HSEQ Requirements to be included in the HSEQ file:
The applicant must demonstrate a roust Health Safety, Environment, and Quality Management system aligned with Oil & Gas industry standards and applicable regulations. And shall submit:
a) The bidders shall have advanced knowledge and abide by local and international environmental regulations to perform the work activities
b) Applicant’s approved HSE manual and HSEQ policy, Environmental management, Risk management procedure and emergency response plans;
c) Valid internationally recognized Certificates of Health, Safety, Environmental and Quality systems (ISO-9001, ISO- 14001 & OSHAS-18001)
d) Company’s HSEQ Procedures list.
4. Financial Requirements to be included in the financial file:
Submission of Company’s Financial Status documents detailing turnover for the last 3 years accredited and must be approved by external financial auditor.

Mellitah Oil & Gas B.V. Libyan Branch has the right to exclude any file that does not meet the above stipulated requirements.

Important Note: Bidders shall clearly indicate the Pre-Qualification No. PRQ/JPT/36/26 in the subject line of all submission emails.

Important Notes:
1. The present “Invitation for Pre-qualification” is not an invitation to tender. Mellitah Oil & Gas BV Libyan Branch is neither committed nor obligated to undertake the work described above or to issue any call for tender or to respond to this “Invitation for Pre-Qualification” or other company on any Bidders List or to award any form of contract in conjunction with the present “Invitation for Pre-Qualification”.
2. The ”Invitation to Tender” (also referred as “ITT”) and the full ITT Package will only be issued to those companies that have been pre-qualified as result of this “Invitation for Pre-qualification” and relevant evaluation process.
3. Mellitah Oil & Gas B.V. Libyan Branch will not be responsible for any costs whatsoever or howsoever incurred in the preparation, submission and presentation of responses to this “Invitation for Pre-qualification”.
4. Mellitah Oil & Gas B.V. Libyan Branch shall deal and communicate only with authorized officers of the bidding companies and not through individuals or agents.
5. Mellitah Oil & Gas B.V. Libyan Branch has the right to extend for a further period, at its sole discretion, the submission deadline of this “Invitation for Pre-qualification”, if deemed necessary. The additional period will be re-announced on the Mellitah Oil & Gas B.V. and National Oil Corporation websites after or before the actual submission deadline fixed for this “Invitation for Pre-qualification”.
6. The supporting documents for all participating companies will be accepted only in electronic form by e-mail.
